Please read them before you use FreshlySpotted. By signing up for or using FreshlySpotted, you agree to these terms on behalf of your business.

Who we are

The operator. FreshlySpotted is run by NIMBUS LABS LTD, a company registered in England and Wales (company number 17530252). Our registered office is 124-128 City Road, London, England, EC1V 2NX. FreshlySpotted is part of the Nimbus Labs Group (NIMBUS LABS LTD).

What FreshlySpotted does

The service. FreshlySpotted spots recently formed UK limited companies (Ltd) and limited liability partnerships (LLP) from public Companies House data.

What is planned. A dashboard you can filter by industry, area and signal, and a Monday email. Both are for business-to-business (B2B) sellers. Some features may change before launch, or not launch.

Business use only. FreshlySpotted is only for businesses. By signing up you confirm you are acting for a business, trade or profession, not as a consumer. Because of this, the consumer rights that apply to purchases by individuals, including the 14-day cancellation period, do not apply. We may ask you to confirm your business details and may refuse or end an account that is not for business use.

The data

Where it comes from. Company details come from the public register kept by Companies House. FreshlySpotted is not connected with or endorsed by Companies House. Contains public sector information licensed under the Open Government Licence v3.0.

No promises on accuracy. We do not promise that the data is accurate, complete or up to date. We only see what appears in public records, and when it appears. Some companies will be missing. Some details may be wrong or out of date. Check anything important before you rely on it.

Work email addresses. Where we show work email addresses, they come from Hunter.io and, once its UK transfer terms are in place, FullEnrich (see our privacy notice). We do not promise that any address is correct or still in use.

Your responsibilities

Your own marketing. You are responsible for how you use the data, including your own marketing. You must follow the law that applies to you, including UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications Regulations (PECR).

Marketing rules. The rules depend on who you contact. As a general guide, marketing email to limited companies and LLPs does not need prior consent if you name yourself and give a simple way to opt out, but sole traders and most partnerships must have agreed first. Our guide to contacting new companies explains more. It is general information, not legal advice: you are responsible for checking the rules that apply to you.

People's details. Where the data identifies people, such as directors, it is personal data. You are the controller of how you use it. You must have a lawful basis, tell people how you use their details, and stop marketing to anyone who objects.

Fair use. Your subscription is for use within your own business. Do not resell, share, sublicense or republish the data (or a substantial part of it) as a list, database or product, or give account access to anyone outside your business. Do not use the service to send spam or harass anyone. Do not scrape, overload or try to copy or break the service.

Subscriptions, payment and cancelling

Plans. You subscribe monthly. Every plan includes the Monday email and dashboard. Prices per month: Core £29.99 (3 areas; an area is a UK region), Pro £59.99 (every UK area, 1 person), Team £179.99 (everything in Pro, for up to 5 people). Prices and plan details are shown at sign-up before you pay.

Team seats. Team seats are for named people at your business and can't be shared outside it.

Auto-renewal. Your subscription renews automatically at the end of each monthly period until you cancel. We charge the card you gave us at the start of each period.

Billing. You pay by card through Stripe to NIMBUS LABS LTD. Stripe emails you a receipt for each payment.

Cancelling. You can cancel at any time in your account or by emailing support@nimbus-labs.co.uk. Cancelling stops the next renewal. You keep access until the end of the period you have paid for.

Refunds. We don't refund part periods, except where the law requires it or where we are at fault (for example if we stop the service, or fail to provide it).

Price changes. We will give you at least 30 days' notice by email of any price change. It applies from your next billing period after the notice ends. You can cancel before then and won't pay the new price.

Failed payments. If a payment fails, Stripe will retry it and we will email you. If it is still not paid after 14 days, we may suspend your account until it is paid. If it is still unpaid after 30 days, we may end your subscription.

Our liability

The service. We will provide the service with reasonable care and skill. Apart from that, we provide it as it is and as available, and we do not give other promises about it, so far as the law allows. We may change, pause or stop features. If we stop the service entirely, we will refund any amount you have paid for the period after it stops.

Limits. We are not liable for: lost profits, sales, business, goodwill or data; indirect or consequential loss; or decisions you make using the data. Our total liability to you is limited to the fees you paid us in the 12 months before the claim.

What we do not limit. Nothing in these terms limits liability that cannot be limited by law, such as for death or personal injury caused by negligence, or for fraud.

General

Data protection. Our privacy notice explains how we handle personal data. Our ICO registration: ZC280192.

Changes. We may update these terms. We will email subscribers at least 30 days before an important change takes effect. If you don't agree, you can cancel before then and we'll refund any prepaid period after the change. If you keep using the service after the change takes effect, the new terms apply. Small changes (such as fixing typos or contact details) may take effect straight away.

Ending your access. We may suspend or end your account straight away if you seriously or repeatedly break these terms (for example reselling the data or using it for spam). Otherwise we may end it with 30 days' notice and refund any prepaid period after it ends.

Law. These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
